About these terms
These terms cover your use of Orgalized (the backend platform) and BringTheFront (its front-end template and guides). Orgalized and BringTheFront are operated by the same company, and both are covered by these terms. We refer to that company as "we," "us," or "Orgalized" throughout.
By creating an account or using either service, you agree to these terms. If you are signing up on behalf of a business or other organization, you promise you are authorized to bind it, and "you" means that organization. You must be at least 18 and able to enter a binding contract.
We call the businesses that use Orgalized "operators." As an operator, you are responsible for keeping your account information accurate, for keeping your login and any API credentials secure, and for everything that happens under your account — including actions by your team members, your connected applications and API clients, and any child organizations you create.
What Orgalized is (and its current stage)
Orgalized is a multi-tenant backend for running a business: contacts and CRM, scheduling and field operations, quoting and invoicing, payments, messaging, marketing, events, and an AI assistant ("AI Coach"). You bring your own front end — you can fork our free template, or build your own — and connect it to your Orgalized backend.
We provide the platform "as is" and "as available." We do not promise it will be uninterrupted or error-free, and we do not currently offer an uptime guarantee. The platform is in an early stage: features may change, break, or be removed, and data structures may still evolve as we improve it.
The AI Coach produces automated suggestions that can be wrong. You are responsible for reviewing anything it produces before relying on it. Its output is not legal, tax, financial, or other professional advice.
Acceptable use
You are responsible for your data, your content, your end users, and everyone you give access to — including making sure they follow these terms. You must have all the rights and consents needed for the data you put into Orgalized and the messages you send through it.
You may not use Orgalized to store, process, or send anything that is illegal, infringing, deceptive, harassing, hateful, or violent; that contains malware; that is spam or messaging sent without the consent the law requires; or that exploits or endangers others. Because Orgalized is shared infrastructure, you also may not attempt to access another operator's data, or probe, overload, or interfere with the platform.
We may remove content or suspend accounts that violate this policy, and we may act immediately in serious or illegal cases.
Your data and your customers’ data
You own your data and your customers’ data. You grant us a limited license to store, process, and transmit that data only to operate and provide the service to you, to keep it secure, and where the law requires. We do not sell it, and we do not use it to train third-party AI models.
For the data your business collects from your own customers, you are the "controller" and we act as your "processor" (service provider) — we handle it on your instructions to run the platform for you. Your own privacy policy governs your relationship with your customers. If you need a written data processing agreement for your compliance, contact us.
We may use aggregated, de-identified information — which cannot reasonably identify you or any individual — to operate, secure, and improve the platform.
Payments — we never hold your money
We are not a bank, an escrow, or a money transmitter. We never take custody of your money. All payments are processed by Stripe, and any funds that are held at any point are held by Stripe, not by us.
When your customers pay you, that money runs through your own Stripe account, under your own agreement with Stripe. You are solely responsible for that account and everything associated with it — including chargebacks, refunds, disputes, fines, and PCI-DSS compliance. Orgalized never receives or stores full card numbers.
Separately, when you pay us for the Orgalized backend services you use, we collect that payment through Stripe as well. Our fees are separate from Stripe’s processing fees and from any amounts you charge your own customers.
Third-party services you connect
Orgalized connects to third-party services you choose — including your own Stripe account for payments and your own messaging and communications providers (such as Twilio) for SMS and email. You are responsible for those accounts, their terms, and their fees, and for everything done through them. We are not a party to your relationship with these providers and are not liable for their acts, outages, or fees.
For messaging and marketing you send through the platform, you are responsible for obtaining and keeping proof of the consent the law requires (including under the TCPA and CAN-SPAM), for honoring opt-outs, and for following carrier and provider rules.
The services we ourselves rely on to run the platform (hosting, email delivery, payment processing, and analytics) are listed in our Privacy Policy.
The template and the API
We offer a free front-end template (BringTheFront). You may fork, modify, and host it — for example on your own Vercel account — to connect to Orgalized. The template is provided "as is," you are responsible for how you deploy, secure, and operate it, and we may update it or stop offering it at any time. Your use of the template code is governed by the license included with it.
We grant you a limited, revocable, non-exclusive license to use our API to connect your front end and integrations. You must stay within the rate and usage limits we set and may adjust, and you may not reverse engineer the platform or try to extract its source or trade secrets.
We may change, deprecate, or discontinue API endpoints. We will make reasonable efforts to give notice of breaking changes, but during this early period the API and data model may change without notice.
Reselling and child organizations
If you provide Orgalized to other organizations ("child organizations") under your account — for example as a white-label reseller — you are responsible for them as if their actions were your own. That includes their compliance with these terms and the fees for their usage.
You must pass our acceptable-use and data-protection terms through to each child organization, and you may not make any promises, warranties, or commitments about Orgalized beyond what we publish. Your billing relationship with your child organizations is yours, including amounts you cannot collect from them and any credits you give them.
Fees, billing, and taxes
Current pricing is on our pricing page, which is part of these terms. Some features may be free during this early period; we may introduce or change fees with reasonable advance notice, and continuing to use the service after a change means you accept it.
Fees are exclusive of taxes, which are your responsibility. Except where the law requires or we state otherwise, fees are non-refundable.
Suspension, termination, and getting your data out
We may suspend or limit your account if you breach these terms, do not pay, or create a security, legal, or platform-integrity risk — immediately in serious or illegal cases, otherwise after notice. Either of us may end the relationship for a material breach that is not fixed within 30 days of written notice, or for convenience with reasonable notice.
After termination you will have 30 days to export your data through the platform’s export tools. After that we may permanently delete it, except where the law requires us to keep it — in which case we isolate it and stop using it.
Disclaimers, liability, and indemnification
Except as expressly stated, Orgalized and BringTheFront are provided "as is," and we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim, or US$100.
You will defend and indemnify us against third-party claims arising from your data or content, your end users and customers, your messaging and payment activity, or your violation of these terms or the law.
Changes, governing law, and notices
We may update these terms. For material changes we will give reasonable notice by email or in the product; changes take effect on the date stated at the top, and continued use after that means you accept them.
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be resolved in Delaware. We may give you notice by email to your account address or through the platform.
